These Terms of Service ("Terms") govern your access to and use of the products, websites, SDKs, MCPs, APIs, and mobile applications provided by Jarwin, Inc. DBA InFlow ("InFlow", "we", "us", or "our"). By accessing or using any part of our services, you agree to these Terms. If you do not agree, do not use the services.1. Who We Are
InFlow provides payment and wallet infrastructure that allows developers, merchants, and AI-powered systems to send, receive, and manage digital and fiat transactions programmatically. Our primary website is www.inflowpay.ai.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the services. You are responsible for the security of your account credentials and for all activity under your account. We may suspend or close your account if we detect unauthorized access, fraud, or misuse.
3. Developers and Merchants
If you integrate InFlow’s SDKs, MCPs, APIs, or product dashboard:
- You are responsible for your implementation, including how your application or AI agent initiates payments or interacts with users.
- You must comply with all applicable financial, data-protection, and consumer laws in the jurisdictions where you operate.
- You may not use InFlow to process payments for high-risk, illegal, or prohibited activities, including money laundering, gambling, adult content, or sanctioned transactions.
- You may not resell, sublicense, or provide our services to third parties without our written consent.
4. Customers and Wallet Users
If you use the InFlow mobile app or wallet features:
- You may use the wallet to authorize, confirm, or manage transactions initiated by merchants or AI agents connected to InFlow.
- You are responsible for safeguarding your device, credentials, and recovery information.
- InFlow and its partners may require identity verification (KYC) before enabling certain payment or withdrawal features.
- You authorize InFlow to transmit instructions and payment data to its regulated financial partners to complete transactions on your behalf.
Certain wallet and payment services are provided through regulated third-party partners.
InFlow may allow you to confirm or authorize transactions using SMS instead of the mobile app. If you choose to use SMS, you consent to receive text messages for verification codes, transaction approvals, and security alerts at the phone number you provide. Message frequency depends on your activity. Message and data rates may apply. You may opt out at any time by replying STOP, and you may request help by replying HELP. Mobile carriers are not responsible for delayed or undelivered messages. SMS participation is optional but required if you do not use the mobile app for confirmations.
5. Compliance and Verification
You agree to comply with all applicable laws related to anti-money laundering (AML), counter-terrorism financing (CTF), and sanctions screening. We may request identity or business information to verify compliance. We may suspend, freeze, or terminate accounts or transactions that appear suspicious or violate these Terms or applicable law.
6. Prohibited and High-Risk Activities
You may not use the services for, or in connection with:
- Any unlawful activity or purpose.
- Transactions involving restricted goods or services.
- Exploitation, abuse, or deception of others (including by automated agents).
- Circumvention or disruption of our security or compliance systems.
We may refuse, reverse, or report any transaction that we believe violates these Terms or applicable law.
7. Intellectual Property
All software, documentation, designs, and branding associated with InFlow are owned by Jarwin, Inc. or its licensors.
You may not copy, modify, or create derivative works except as expressly permitted in writing.
Feedback or suggestions you provide may be used by InFlow without restriction or obligation to you.
8. Service Availability and Suspension
We may modify, suspend, or discontinue parts of the services at any time, including for maintenance, risk management, or legal compliance. We will make reasonable efforts to provide notice of material changes when possible. InFlow is not liable for delays or interruptions caused by external networks, payment processors, or blockchain systems.
9. Fees and Pricing
Fees for the services are described in your InFlow account or dashboard and may vary by plan, usage, or transaction volume. By using the services, you agree to pay all applicable fees shown in your dashboard or agreed in writing. We may update our pricing from time to time. Changes will take effect only after notice is provided through the dashboard or our website. If you continue to use the services after a pricing change takes effect, you accept the new fees. All fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.
10. Data, Privacy, and Confidentiality
Our Privacy Policy explains how we collect, use, and protect personal data, and how we use cookies and similar technologies. We treat customer and developer data as confidential and use it only to operate, secure, and improve the services.
InFlow does not use customer or transaction data to train AI models unrelated to the service. We may review and analyze transaction and usage data to detect fraud, ensure compliance, improve performance, and identify legitimate usage patterns consistent with standard financial-services practices. For reporting and product improvement, we may also use aggregated or anonymized data that cannot reasonably identify you or your business. You agree to comply with all applicable privacy and data-protection laws when handling any user data obtained through our SDKs, MCPs, APIs, or related services.
11. Beta and Experimental Features
From time to time, InFlow may release features labeled "alpha", "beta", or "preview". These features are provided as is for testing and may change or be discontinued at any time.
12. Disclaimers
The services are provided "as is" and "as available". To the fullest extent permitted by law, InFlow disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the services will be uninterrupted, error-free, or secure.
13. Limitation of Liability
To the maximum extent permitted by law:
- InFlow will not be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill.
- InFlow’s total liability for any claim arising out of or related to these Terms or your use of the services will not exceed the greater of (a) the fees you paid to InFlow in the twelve months preceding the claim, or (b) one hundred U.S. dollars (US $100).
14. Indemnification
You agree to defend, indemnify, and hold harmless InFlow and its affiliates, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the services.
- Your violation of these Terms.
- Any content, data, or transactions initiated through your account or your agents.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in San Francisco County, California, and both you and InFlow consent to personal jurisdiction and venue there.
16. Changes to These Terms
We may update these Terms from time to time. The Last Updated date below indicates when the current version took effect. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms. The latest version is always available at app.inflowpay.ai/terms/.
